Companies Act, 2017 — section 62
62. Shares certificate to be evidence..—(1) A certificate, if issued in physical form under 1 [signature of authorized officer of the company as may be specified] or issued in book-entry form, specifying the shares held by any person or shares held in central depository system shall be prima facie evidence of the title of the person to such shares.
(2)Notwithstanding anything contained in the articles of a company, the manner of issue of a certificate of shares, the form of such certificate and other matters shall be such as may be specified. SPECIAL PROVISIONS AS TO DEBENTURES
