Companies Act, 2017 — section 168
168. Validity of acts of directors..—The acts of a person acting as a director are valid notwithstanding that it is afterwards discovered that there was a defect in his appointment; or he was disqualified from holding office; or he had ceased to hold such office: Provided that, as soon as any such defect has come to notice, the director shall not exercise the right of his office till the defect has been removed.
